Gregory C. Calder

Greg is a recognized leader in the representation of business owners throughout our region. He has over 20 years of experience in business succession, business transactional, complex corporate, and complex estate planning matters.

He enjoys developing creative and innovative strategies to architect the most optimal structure for his clients, whether it be an S corporation, a limited partnership, or a limited liability company. An important element of his practice is providing cutting edge advice to executives, so that they are armed with the information they need to make the right decisions for their companies. His business practice includes the buying and selling of businesses, mergers, reorganizations, buy-sell agreements, and the development of exit strategies. He regularly advises families, physician groups, agricultural enterprises, and other businesses in the formation of business structures, compensation policies, merger transactions, as well as valuation and compliance matters. Greg has special interest in assisting health care clients in the buying and selling of group practices and in structuring relationships with physicians and entities so that they are regulatory compliant; however, he assists clients in a diverse array of industries, and he has represented clients in a large variety of corporate transactions. He plays an active role from the formation and business planning stages to structuring and negotiating joint ventures and strategic alliances.

In addition, Greg has substantive experience in tax, corporate, and business law, and he has particular experience in complex healthcare arrangements. He offers his healthcare clients both general counsel on routine healthcare industry matters and outside counsel on specialized issues for clients with in-house legal departments, concerning employment and medical staff relationships, professional service agreements, management and provider contracts, physician recruitment incentives, state and federal fraud and abuse, and anti-referral prohibitions.

Greg provides tax and estate planning advice to high net-worth individuals and is especially interested in counseling family-owned businesses regarding the development and implementation of business succession plans. He counsels estate planning clients on the best way to reduce conflict and minimize estate taxes. He regularly utilizes wills, trusts, charitable organizations, and other appropriate legal tools to help clients achieve their goals.

Greg is often asked to speak on a variety of legal topics including business entity law, physician integration strategies, business succession and exit strategies, and tax planning.

Greg enjoys recreational tennis, hiking, collegiate sports, and spending time with his wife and 4 children.
