Negotiating and drafting contracts is a very detailed service that requires the attorney to have a thorough understanding of the client’s business matters. We here at Beard St. Clair strive to understand our client’s needs and draft appropriate contracts in a readable, business-like fashion. We negotiate contracts for the purchase and supply of goods on an exclusive and non-exclusive basis. We regularly represent clients in contract negotiations and in drafting contracts of all types.
The Uniform Commercial Code is a common set of rules governing many business relationships. Idaho has adopted a very similar version of the Uniform Commercial Code with few alterations. Its provisions are particularly relevant in contractual relationships for the purchase and sale of goods and in debtor/creditor relationships. The UCC provides protection for both debtors and creditors. It is an essential source we rely on in drafting our contracts to ensure the rights and liabilities of the parties to a contract.
